Deal Structure
Tranche One: Acquisition of a minimum of ten percent (10%) and maximum of twenty percent (20%) of the Equity Capital of the Company within six (6) months from the date as mentioned in the Acquisition Agreement.
Tranche Two: Further acquisition of twenty percent (20%) of the Equity Capital of the Company, within eighteen (18) to twenty four (24) months from the date as mentioned in the Acquisition Agreement.
Tranche Three: Additional acquisition resulting in the Investor holding at least fifty-one percent (51%) and ultimately one hundred percent (100%) of the total equity capital of the Company with voting rights, within thirty-six (36) months from the date as mentioned in the Acquisition Agreement.
